Export Restrictions

You acknowledge that the software, documentation, technology, and/or chipsets (“received item”) provided under this agreement may be subject to import, export, re-export and/or transfer restrictions under the U.S. laws and regulations and other applicable laws and regulations of other jurisdictions (collectively "export laws"), as applicable. You warrant that it will fully comply with all applicable export laws, and that the received item will not be (1) exported, re-exported, transferred or released, directly or indirectly, to any sanctioned entities which include but are not limited to those entities listed on the Entity List, Unverified List and Military End-User List published by the BIS, or to any destination that is embargoed countries or regions under export laws; (2) intended to be used for any purpose prohibited by export laws, including, without limitation, nuclear, chemical, or biological weapons proliferation and military end uses; (3) used in the development or production of ICs destined to a facility located in China that fabricates ICs that meet any of the following criteria: (1) logic ICs using a non-planar transistor architecture or with a “production” technology of 16/14 nm or less; (2) NAND memory ICs with 128 layers or more; or (3) DRAM ICs using a “production” technology node of 18 nm half-pitch or less . You acknowledge and agree that it will cooperate with MediaTek and provide necessary assistance to prove its compliance with this section. You agree to indemnity and hold MediaTek and its affiliates harmless from all damages and liability that arise out of or in connection with Your violation of export laws

Governing Law

This TOU shall be governed by and construed in accordance with the laws of Singapore without giving effect to any principles or conflicts of law.
